Terms of Service

1. Overview

PinPoint provides a safety solution through physical patches embedded with QR codes that link to user-managed emergency profiles. These profiles are intended to assist first responders and good Samaritans during emergencies.

2. User Responsibility

Users and caregivers are solely responsible for creating, maintaining, and updating the information associated with each QR code.
PinPoint does not verify or monitor the accuracy of the information stored on user profiles.

User Account Security:
If you create an account to manage your PinPoint profile, you are responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to notify PinPoint immediately of any unauthorized use or suspected breach of your account. PinPoint is not liable for any loss or damage arising from your failure to safeguard your account information or from unauthorized access resulting from your negligence.

Important Sewing Disclaimer:
If you choose to sew the patch onto clothing or gear, please ensure that all stitching is done outside the QR code area to maintain proper scannability. PinPoint is not responsible for patches that become unreadable due to stitching interfering with the QR code.

Removal and Reuse Disclaimer:
Removal and reuse of patches are not recommended. PinPoint is not liable for any damages to clothing, personal gear, the product itself, or for any bodily injury resulting from use, removal, or reuse of the patches.

3. Emergency Use Only

PinPoint patches are intended for emergency identification and communication only. They are not a substitute for professional medical care, medical ID systems, or emergency services.

4. QR Code Functionality

Patches should be worn or affixed as intended.
If sewing the patch onto clothing or gear, all stitching must be kept outside of the QR code area. Stitching over the code may result in scanning failure.
PinPoint is not responsible for QR codes that become unreadable due to misuse, alteration, damage, or improper attachment.

5. Product Condition

Some light charring on patches is normal and a result of the production process. This does not affect functionality and should wear off with time.

6. Privacy and Data

Users voluntarily input personal and emergency contact data. While we aim to keep access secure through unique QR codes, no system is entirely immune to risk. Do not store sensitive medical or personal information that you are not comfortable sharing in a potential emergency situation.
PinPoint does not sell or share user data with third parties.

7. Limitation of Liability

PinPoint and its affiliates shall not be held liable for any direct, indirect, incidental, or consequential damages resulting from the use or inability to use the patches or QR-linked profiles. Users accept all risks related to the maintenance, scanning, and use of the emergency information.

8. Modifications

PinPoint reserves the right to update these Terms of Service at any time. Continued use of our products after changes are posted constitutes acceptance of the revised terms.

9. Refunds and Exchanges

All sales are final. There are no refunds or exchanges.

10. Intellectual Property and Trademark

PinPoint owns all rights and intellectual property embedded in the QR codes, which cannot be reproduced or used without express permission. Additionally, PinPoint owns all rights and data associated with each URL linked to the QR codes. These URLs may not be used to produce any other products or services that do not originate from PinPoint. This is to protect the integrity of PinPoint and the safety of your loved ones.

11. Enforcement and Legal Compliance

PinPoint reserves the right to deactivate service, including but not limited to cases of trademark infringement or any other violations that compromise the safety and integrity of its products and services.
Any legal activity deemed necessary will be pursued, and all relevant data will be handed over to the appropriate authorities.

Limitation on Commercial Use:
The PinPoint patches and associated QR code services are intended solely for personal use by the purchaser or authorized caregiver. Commercial resale, redistribution, or use of the product for any business, promotional, or commercial purpose without prior written consent from PinPoint is strictly prohibited. Any unauthorized commercial use may result in termination of service and legal action.

Severability:
If any provision of these Terms of Service is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be severed from the Terms and shall not affect the validity and enforceability of the remaining provisions.

12. Governing Law, Jurisdiction, and Force Majeure

This Agreement and any dispute arising from the use of PinPoint products or services shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to its conflict of law provisions.

In the event of any dispute, claim, or controversy arising out of or relating to these Terms of Service, the use of PinPoint products or services, or the breach thereof, the parties agree to first attempt to resolve the matter informally through good faith negotiations.

If the dispute cannot be resolved informally within 30 days, either party may elect to resolve the dispute through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in Baldwin County, Alabama, and judgment on the arbitration award may be entered in any court having jurisdiction.

By agreeing to these Terms, you waive your right to a trial by jury and agree to resolve disputes through arbitration, except for claims that may be brought in small claims court.

Force Majeure:
PinPoint shall not be held liable for any failure or delay in performance of its obligations under these Terms of Service due to events or circumstances beyond its reasonable control, including but not limited to natural disasters, acts of God, war, terrorism, riots, labor disputes, government actions, pandemics, technical failures, internet outages, or other unforeseen events (“Force Majeure Events”). During such events, PinPoint may suspend or delay its services without liability until the event or circumstance has been resolved.
